Terms of Service

Please read these terms of service carefully before using Our Service.

1 - Introduction

These Terms of Service ("Terms", "Terms of Service") govern your use of our platform (the "Service") provided by Shaqay Inc. ("Company", "Operator", "we", "us", or "our"), including our website, mobile application, and any related services (collectively referred to as the "Service"). By accessing or using the Service, you agree to comply with these Terms. If you do not agree with these Terms, you must refrain from using the Service.

2 - Definitions

  • Buyer or Customer refers to individuals or entities purchasing products or services through the Service.
  • Vendor or Seller refers to individuals or entities offering goods or services through the Service.
  • Order refers to a request made by a Buyer for the purchase of goods or services from a Vendor through the Service.
  • Platform refers to the online marketplace managed by Shaqay Inc.

3 - General Terms

3.1 - Role of the Company

We are a facilitator between Buyers and Vendors, providing a platform for transactions. We are not a party to the agreements between Buyers and Vendors and do not hold any responsibility for disputes or issues arising from such agreements.

3.2 - Legal Capacity

By using the Service, you represent that you are legally capable of entering into binding contracts. You must be at least 18 years old to use the Service.

4 - Orders of Goods

4.1 - Position of the Service in Orders

Our role is that of a facilitator between Buyers and Sellers. We are a third party in Orders, and our liability is limited in any disputes between the Buyer and Seller.

4.2 - Your Information as Buyer

If you wish to place an Order, you may be asked to provide certain personal and payment information. You represent that the information you provide is accurate and complete.

4.3 - Availability, Errors, and Inaccuracies

We cannot guarantee the accuracy or completeness of any product descriptions, prices, or availability. We reserve the right to update or correct information without notice.

4.4 - Prices Policy

The prices quoted on the Service may be revised at any time, and you agree to the applicable prices at the time of order placement. In the event of a price change after an Order is placed, you will have the option to cancel the Order.

4.5 - Payments

Payment will be processed through third-party payment processors, including Stripe. By submitting your payment information, you authorize us to process the payment through these third-party services.

4.6 - Service Fees

We may charge fees for using the Service. These fees are disclosed at the time of the Order, and you agree to pay these fees along with the product price.

4.7 - Order Modification

You and the Vendors are responsible for any modifications to Orders and agree to pay any additional fees associated with modifications.

4.8 - Order Cancellation

4.8.1 - Vendor (Seller) Cancellation Policy

If a Vendor (Seller) cancels an Order, the Buyer will receive a full refund, including any Service Fees. In addition, the Vendor may face consequences such as:

  • Removal from the platform
  • A cancellation fee
  • Suspension of their ability to list or accept new orders

Vendors must provide a valid reason for the cancellation and notify both the Buyer and the platform within 24 hours of becoming aware of the cancellation.

4.8.2 - Buyer (Customer) Cancellation Policy

If a Buyer cancels an Order, the following refund policy will apply based on the timing of the cancellation:

  • More than 30 days before the scheduled event date: Full refund, including Service Fees.
  • Between 7 to 30 days before the scheduled event date: 50% refund, including Service Fees.
  • Less than 7 days before the scheduled event date: No refund.

Buyers must cancel their orders through the platform to ensure eligibility for a refund. Cancellations made through other means (e.g., directly contacting the Vendor) may not be considered valid.

4.8.3 - Force Majeure

In the event of unforeseen circumstances (such as natural disasters, pandemics, or other force majeure events), both Vendors and Buyers may be entitled to cancel the Order without penalty. In such cases, the Vendor and Buyer should notify the platform as soon as possible. The platform will work with both parties to attempt to resolve the situation and may offer options for rescheduling or refunding, depending on the situation.

4.8.4 - Refund Processing

Refunds will be processed directly by Stripe, our third-party payment processor. The platform does not handle refunds. Buyers and Vendors will be notified of the refund status once processed by Stripe. Refunds may take 5-10 business days to be completed, depending on the Buyer’s original payment method. Note that Stripe may have its own terms and conditions that apply to refund processing.

4.8.5 - Dispute Resolution

If there is a dispute regarding the cancellation, both the Vendor and the Buyer should reach out to the platform to assist in resolving the matter. The platform will make a reasonable attempt to mediate the situation, but the final resolution remains the responsibility of the parties involved.

5 - Disclaimer of Warranties and Limitation of Liability

5.1 - Limitation of Liability

Our total liability, whether in contract, tort, or otherwise, is limited to the amount paid by you through the Service or 100 USD (or its equivalent in the local currency), whichever is greater. We are not liable for any indirect, incidental, or consequential damages arising from the use of the Service.

5.2 - "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties. We make no representations or warranties that the Service will meet your requirements or be error-free.

5.3 - Links to Other Websites

We are not responsible for the content or privacy practices of third-party websites linked from the Service. You should review their terms and privacy policies before using those services.

6 - Disputes Resolution about the Service

If you have concerns or disputes about the Service, we encourage you to contact us first to attempt to resolve the issue informally. We will work with you to address any issues that arise.

7 - Intellectual Property of the Service

The Service and its content are the exclusive property of Shaqay Inc. and its licensors. Unauthorized use of our trademarks, logos, and other intellectual property is prohibited.

8 - Your Feedback to Us

By providing feedback, you assign all rights, title, and interest in your feedback to Shaqay Inc. If the assignment is ineffective, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use and modify your feedback.

9 - Changes to these Terms of Service

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated to users, and continued use of the Service constitutes acceptance of those changes.
